User Agreement

1. Acceptance of Terms

By accessing or using the Incorpus platform at incorpus.app ("Service"), you agree to be bound by this User Agreement ("Agreement"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

2. Description of Service

Incorpus is a business management platform for Malaysian businesses providing operations management, accounting, tax compliance, and audit readiness tools. The Service includes invoicing, bookkeeping, bank reconciliation, SST compliance, e-Invoicing integration (LHDN MyInvois), financial reporting, and document management.

3. Accounts & Access

3.1 Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your authentication credentials and for all activities that occur under your account.

3.2 Company Workspaces

Each company operates in an isolated workspace. The company owner controls user access, roles (staff, accountant, secretary), and permissions. Users may belong to multiple company workspaces with different roles.

3.3 Ownership

Each company workspace has exactly one owner. The owner controls billing, company data export, legal company identity, and ownership transfer. Ownership transfer is an explicit action and cannot be performed by administrators.

4. Subscription & Billing

4.1 Plans

Incorpus offers tiered subscription plans (Standard and Plus). All plans provide identical features; tiers differ only in storage limits, database size, and number of users. There is no free tier. Trial access is time-limited (30 days by default).

4.2 Payment

Billing is processed through Stripe. Payments are in Malaysian Ringgit (MYR). FPX payments do not support automatic recurring billing; manual renewal is required before expiration.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, your data is retained for 120 days. After this period, all company data is permanently deleted. You may export your data before cancellation using the Company Data Export feature.

4.4 Grace Period

If your subscription expires or payment fails, there is a 7-day grace period during which you retain read-only access. Write operations are blocked until payment is resolved.

5. Your Data

5.1 Ownership

You retain all rights to the business data you enter into Incorpus. We do not claim ownership of your invoices, bills, journal entries, reports, or any other business records.

5.2 Isolation

Company data is isolated at the database level using row-level security policies. Your data cannot be accessed by other companies on the platform.

5.3 Export

Company owners can export all company data at any time. Accounting Pack, Audit Pack, Tax Pack, and Company Data Export provide structured, portable output of your records.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of Malaysian law
  • Attempt to access data belonging to other companies or users
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code
  • Exceed fair-use storage limits or circumvent subscription restrictions
  • Automate access to the Service beyond the provided CLI and API interfaces

7. e-Invoice Integration

When you configure LHDN MyInvois integration, Incorpus submits e-Invoices to LHDN on your behalf using your provided credentials and digital certificates. You are responsible for the accuracy of the invoice data submitted. Incorpus is a submission tool; it does not provide tax advice or guarantee acceptance by LHDN.

8. Service Level

We aim to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. The Service is provided "as is" without warranty of any kind.

9. Limitation of Liability

Incorpus is a business management tool, not a licensed accounting firm, tax agent, or company secretary. The reports, computations, and compliance features provided are tools for your use and do not constitute professional advice. You should verify critical financial and tax outputs with a qualified professional before relying on them for external statutory submissions.

To the maximum extent permitted by Malaysian law, our liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access if you violate this Agreement or if your subscription remains unpaid beyond the grace period. You may terminate your account at any time by cancelling your subscription and requesting account deletion.

11. Changes to This Agreement

We may update this Agreement from time to time. Material changes will be communicated to active users via email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.
